Non-Compliance Letter From NYSE

Company will submit a plan by February 23, 2009 addressing how it intends to regain compliance

CARLSBAD, Ca. - XENONICS HOLDINGS, INC. (AMEX: XNN) announced today that it has received notice from NYSE Alternext US (the "Exchange") that the Company is not in compliance with Section 1003(a)(ii) of the Company Guide, with shareholders' equity of less than $4,000,000 and losses from continuing operations and net losses in three out of its four most recent fiscal years. Xenonics reported shareholders' equity of $3,754,000 at September 30, 2008, $246,000 less than the required minimum.

In order to maintain its listing, the Company will submit a plan by February 23, 2009 addressing how it intends to regain compliance by July 23, 2010.
